1. The Agreement

This Affiliate Program Agreement ("Agreement") is entered into by and between ResQWare LLC ("Company", "We", "CPR Enroll") and you ("Affiliate", "You").

By filling out the signup form and clicking "Apply" or "Agree", you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. Your participation is also subject to our general Terms of Service.

2. Enrollment & Approval

To begin the enrollment process, you must submit a complete Affiliate Program Application via our website. We will evaluate your application and notify you of your acceptance or rejection.

We may reject your application at our sole discretion if we determine that your site or marketing methods are unsuitable for our Program, including if they:

  • Promote sexually explicit materials, violence, or illegal activities.
  • Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
  • Incorporate any materials which infringe or assist others to infringe on any copyright, trademark, or other intellectual property rights.

3. Commissions & Payouts

Commission Rate: You will earn commissions on qualifying sales as specified in your Affiliate Portal dashboard. We reserve the right to change commission rates at any time with notice.

Qualifying Sale: A commission is earned when a customer clicks your affiliate link, completes a purchase of a CPR Enroll subscription, and remains an active, paying customer for at least 30 days (the "Cooling-off Period").

Self-Referrals Prohibited: You may NOT use your own affiliate link to purchase CPR Enroll for yourself or your own business. Commissions will not be paid on self-referrals, and such activity may lead to immediate termination.

Payout Schedule: Commissions are paid out on a rolling basis (e.g., Net-30 or Net-60) via the payment method supported in the Affiliate Portal (e.g., PayPal or Stripe Connect). A minimum balance (e.g., $50) may be required before a payout is triggered.

4. Marketing Guidelines

You are granted a revocable, non-exclusive, non-transferable license to use CPR Enroll logos and banners provided in the Affiliate Portal solely for the purpose of promoting our services.

You Agree Not To:

  • Send unsolicited email (SPAM) or SMS messages. All marketing must be compliant with CAN-SPAM and TCPA regulations.
  • Misrepresent CPR Enroll features or pricing.
  • Create "official-looking" websites that confuse users into thinking they are visiting the actual CPR Enroll website.
  • Use "cookie stuffing" or other deceptive methods to set affiliate cookies without a user's knowing click.

5. PPC & Bidding Restrictions

Strict Prohibition: You are strictly prohibited from bidding on our branded keywords in Pay-Per-Click (PPC) campaigns.

You may NOT run ads on Google Ads, Bing Ads, Facebook, or other platforms that bid on the following keywords (or variations/misspellings thereof):

  • "CPR Enroll"
  • "CPR Enroll Login"
  • "ResQWare"
  • "CPR Enroll Coupons" or "CPR Enroll Discount"

You may not use our brand name in the Display URL of your ads. Violation of this section will result in the forfeiture of all commissions and immediate termination from the program.

6. FTC Disclosure Requirements

You must comply with the Federal Trade Commission (FTC) guidelines concerning the use of endorsements and testimonials in advertising. This means you must clearly disclose your relationship with us to your audience.

Requirement: Any time you share your affiliate link (on a blog, social media, video, or email), you must include a clear disclosure statement such as:

  • "This post contains affiliate links. If you make a purchase, I may earn a commission at no extra cost to you."
  • "Sponsored by CPR Enroll."
  • "#ad" or "#sponsored" (for social media).

7. Termination

Either party may terminate this Agreement at any time, with or without cause, by giving the other party written notice. Written notice can be in the form of an email.

If we terminate this Agreement due to your violation of these terms (e.g., spamming, PPC violation, fraud), you forfeit all pending commissions. If we terminate for other reasons, we will pay out any outstanding qualified commissions.

8. Liability & Indemnification

We will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages.

You agree to indemnify and hold harmless ResQWare LLC and its directors, officers, employees, and agents from and against any and all liability, claims, losses, damages, injuries, or expenses (including reasonable attorneys' fees) arising out of your operation of your site, your marketing methods, or your breach of this Agreement.

9. General Provisions

Independent Contractors: We are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties.

Governing Law: This Agreement shall be governed by and interpreted in accordance with the laws of the State of New Hampshire, without regard to its conflicts of laws principles.
